The terms that define how Tours can be accessed, used, and managed.

1. Introduction

Welcome to Tours (the "Services" or "App"), operated by Code Rev S.R.L ("Company," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the Services, including any related websites, applications, APIs, and documentation. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.

2. Eligibility and Authority

You represent and warrant that:

  • You are at least 18 years old or have reached the age of majority in your jurisdiction; and
  • You have the legal capacity to enter into these Terms.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that entity to these Terms. In such cases, "you" refers to both you and the entity.

3. Accounts and Access

3.1 Account Registration

Certain features require account registration. You agree to provide accurate, current, and complete information and to keep your account information updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must notify us immediately of any unauthorized access or security breach.

3.3 Account Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, applicable law, or pose a security or legal risk.

4. License and Acceptable Use

4.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for internal business or personal purposes.

4.2 Acceptable Use Restrictions

You agree not to:

  • Use the Services for unlawful or unauthorized purposes
  • Upload malicious code, infringing, offensive, or illegal content
  • Interfere with or disrupt system integrity or performance
  • Attempt to gain unauthorized access to the Services
  • Reverse engineer, decompile, or disassemble any part of the Services, except as permitted by law

4.3 Tour Creation and Location Limits

Each subscription plan (Basic, Pro, and Business) grants you a license to create and manage virtual tours for a single location (e.g., one hotel, restaurant, café, showroom, or real estate project) per account. For residential developers, a "location" is defined as a single real estate project — including multiple unit types (e.g., studio, 2-room, 3-room apartments, common areas) within that project. If you wish to create and manage tours for multiple locations or properties under a single account, you must obtain an Enterprise license. Attempting to use a standard subscription to circumvent this limitation — including by creating multiple accounts — is a violation of these Terms and may result in account suspension or termination. 5. User Content

5.1 Ownership

You retain ownership of content you upload or generate through the Services ("User Content").

5.2 License to Company

You grant the Company a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content solely as necessary to provide and improve the Services.

5.3 Content Responsibility

You are solely responsible for User Content and represent that you have all necessary rights to submit such content. We reserve the right to remove or restrict access to User Content that violates these Terms or applicable law.

6. Intellectual Property Rights

All intellectual property rights in and to the Services, including software, designs, trademarks, and documentation, are owned by or licensed to the Company. No rights are granted except as expressly stated in these Terms.

7. Subscriptions and Payments

7.1 Billing and Payment Processing

Paid subscriptions are processed through third-party payment processors, including Stripe. By subscribing, you authorize us to charge applicable fees according to your selected plan.

7.2 Subscription Terms

  • Subscriptions may be monthly or yearly, as selected at purchase.
  • Charges are billed in advance and renew automatically unless cancelled prior to the renewal date.
  • Prices exclude applicable taxes, including VAT, which will be calculated at checkout.

7.3 Price Changes

We may modify pricing with advance notice. Continued use after the effective date constitutes acceptance of the new pricing.

7.4 Cancellation and Refunds

You may cancel at any time, effective at the end of the billing cycle. Except where required by law, all payments are non-refundable.

7.5 Upgrades and Plan Changes

Unused time from the current plan may be prorated or credited at our discretion. Annual subscriptions may only be upgraded to other annual plans.

8. Confidentiality

Each party agrees to protect confidential information disclosed by the other and to use such information solely for purposes related to the Services.

9. Third-Party Services

The Services may integrate with or link to third-party services. We are not responsible for third-party products, services, or their terms.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and affiliates from any claims, damages, losses, and expenses arising from your use of the Services or violation of these Terms.

13. Data Protection and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

14. Governing Law and Venue

These Terms are governed by the laws of Romania, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Romania.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Services. Continued use constitutes acceptance of the updated Terms.
